Acceptance of Terms: Approval of this proposal constitutes acceptance of all terms and conditions contained herein and forms a binding agreement between the customer and Rivas Technology Group. These terms incorporate by reference the Rivas Technology Group Standard Terms & Conditions available at rivastechgroup.com/terms-and-conditions, with modifications specific to Solar Security Tower System leases and purchases as outlined below.
All lease pricing is quoted as a monthly rate but billed annually in advance. The first annual payment is due upon contract execution. Subsequent annual payments are due on the anniversary date of contract execution. Annual billing amounts are calculated as: Monthly Rate × 12 months.
Example: A 36-month lease at $449/month is billed as $5,388 annually (due in full on contract execution, then $5,388 due 12 months later, then $5,388 due 24 months later).
Grace Period: A 15-day grace period is provided on all annual payments. Payments received after the grace period are subject to late fees as described in Section 1.3.
Purchase transactions require payment in two parts: (1) Equipment and installation cost paid in full upon contract execution, and (2) Monthly service fee billed annually in advance beginning on the date of system commissioning.
Example: Single tower purchase at $8,495 + $199/month service requires $8,495 payment at contract execution, then $2,388 annually ($199 × 12 months) beginning on commissioning date.
Payments not received within 15 days of the due date are subject to a late fee of 1.5% per month (18% APR) on the outstanding balance. Additionally, Rivas Technology Group reserves the right to suspend remote access, cloud management, and technical support services until payment is received in full.
Non-payment for 30 days or more constitutes default and may result in acceleration of all remaining payments and equipment retrieval as described in Section 4.
Rivas Technology Group accepts certified check, ACH transfer, wire transfer, and major credit cards (Visa, Mastercard, American Express). Credit card payments are subject to a 3% convenience fee. ACH and wire transfers are fee-free and preferred for large transactions.
All quoted prices exclude Washington State sales tax unless explicitly stated otherwise. Applicable sales tax will be added to all invoices based on the project site location and is the sole responsibility of the customer. Tax-exempt organizations must provide valid exemption certificates prior to contract execution.
All equipment remains the sole property of Rivas Technology Group throughout the lease term. The customer receives a non-transferable right to use the equipment at the specified installation site for the duration of the lease term only. The customer may not sell, transfer, relocate, modify, or encumber the equipment without prior written consent from Rivas Technology Group.
Equipment serial numbers and installation location are recorded at commissioning. Unauthorized relocation, transfer, or modification constitutes breach of contract and may result in immediate termination and equipment retrieval.
Lease terms are fixed at contract execution (12-month, 24-month, or 36-month). At the conclusion of the initial lease term, the agreement converts to a month-to-month lease at 115% of the final monthly rate unless the customer provides written notice of intent to terminate at least 60 days prior to lease expiration.
Month-to-month leases may be terminated by either party with 30 days written notice. Equipment must be returned within 30 days of termination as described in Section 2.5.
If the customer terminates the lease agreement prior to the end of the agreed term, the following provisions apply immediately and in full:
Example: A 36-month lease at $449/month ($5,388/year) terminated after 18 months has 18 months remaining. Customer owes: (1) Remaining payments: $449 × 18 = $8,082, (2) Early termination fee: $8,082 × 0.25 = $2,020.50, (3) Total due immediately: $10,102.50, plus equipment return and any refurbishment costs.
No exceptions. Early termination provisions apply regardless of reason — site closure, business sale, relocation, equipment obsolescence, or dissatisfaction with service. These terms are commercially reasonable and reflect Rivas Technology Group's loss of contracted revenue and costs to refurbish and redeploy equipment.
At any time during the lease term, the customer may elect to purchase the equipment outright. Buyout price is calculated as: Fair Market Value of equipment + 100% of remaining lease payments. Fair Market Value is determined by Rivas Technology Group at the time of buyout request based on equipment age, condition, and current market pricing.
Buyout requests must be made in writing. Upon receipt of full buyout payment, title to the equipment transfers to the customer and monthly service fees apply as described in Section 5.4.
Upon lease termination (scheduled or early), customer must return all equipment to Rivas Technology Group within 30 days in the same condition as delivered, normal wear and tear excepted. Customer is responsible for:
Equipment not returned within 30 days, or returned damaged beyond normal wear, will be billed to the customer at full retail replacement value. Rivas Technology Group reserves the right to retrieve equipment at customer's expense if not returned timely.
At the conclusion of the agreed lease term and upon satisfactory payment of all amounts due, the customer has three options:
Customer must provide written notice of intent at least 30 days prior to lease expiration. Failure to provide notice results in automatic conversion to month-to-month lease.
Customer must maintain comprehensive property insurance covering the full replacement value of all leased equipment throughout the lease term. Acceptable coverage types include commercial property insurance, equipment floater policies, or inland marine coverage.
Minimum Coverage Amount: Single tower: $12,000 | Two towers: $24,000 | Three towers: $36,000 (or as specified in proposal)
Named Loss Payee: Rivas Technology Group must be named as loss payee on all insurance policies covering leased equipment. Customer must provide proof of insurance within 15 days of system commissioning and upon annual policy renewal.
Failure to maintain required insurance constitutes breach of contract and may result in immediate termination and acceleration of all remaining payments.
Customer is fully liable for damage to, loss of, or theft of leased equipment regardless of cause — including but not limited to: vandalism, theft, fire, flood, wind, lightning, power surge, vehicle impact, acts of nature, or customer negligence.
In the event of damage, loss, or theft, customer must: (1) Notify Rivas Technology Group within 24 hours, (2) File insurance claim immediately, (3) Pay Rivas Technology Group the full retail replacement value of damaged or missing equipment within 30 days or upon insurance settlement, whichever occurs first.
Customer remains obligated to pay all lease payments during repair or replacement regardless of equipment operability. Damaged equipment is repaired or replaced at Rivas Technology Group's discretion. Customer may not withhold lease payments due to equipment damage or downtime.
Customer is responsible for routine maintenance including cleaning solar panels, removing debris from camera housings, and ensuring unobstructed solar panel exposure. Battery replacement is not considered normal wear and is covered under Section 5 service terms.
Customer must immediately report any equipment malfunction, unusual sounds, visible damage, or performance degradation. Failure to report known issues in a timely manner may void warranty coverage and result in customer liability for repair costs.
The following constitute default and trigger immediate remedies available to Rivas Technology Group:
Upon default, Rivas Technology Group may exercise any or all of the following remedies without prior notice:
Exercise of any remedy does not waive Rivas Technology Group's right to pursue additional remedies or legal action. All remedies are cumulative.
Customer is responsible for all costs incurred by Rivas Technology Group in collecting past-due amounts or enforcing the terms of this agreement, including but not limited to: reasonable attorney's fees, court costs, collection agency fees (up to 40% of the outstanding balance), interest on past-due amounts at 1.5% per month, equipment retrieval costs, and storage fees.
If legal action is required, the prevailing party is entitled to recover reasonable attorney's fees and costs as provided in the Rivas Technology Group Standard Terms & Conditions Section 36.
Rivas Technology Group will provide written notice of default via email to the address on file. Customer has 10 business days from the date of notice to cure the default by: (1) Paying all past-due amounts in full including late fees, (2) Providing proof of insurance if applicable, or (3) remedying any other breach described in the notice.
Failure to cure within 10 business days results in immediate exercise of remedies as described in Section 4.2. Time is of the essence. Acceptance of late payment does not waive Rivas Technology Group's right to enforce default provisions in the future.
On-site service calls for troubleshooting, repairs, adjustments, and technical support are billed at $195 per hour with a 2-hour minimum. This rate applies to all service work including diagnostics, programming updates, equipment replacement, and system optimization.
Service calls are prepaid in full prior to scheduling. Cancellations or rescheduling require 24 hours notice — cancellations with less than 24 hours notice result in forfeiture of the prepayment.
Remote support sessions for diagnostics, programming changes, and system configuration are billed at $195 per hour with a 1-hour minimum. Remote sessions are prepaid in full prior to session start. Most remote support sessions are completed within 1-2 hours.
Service calls outside the standard 20-mile service area are subject to travel fees as published on the Rivas Technology Group Service Pricing & Policies page. Current fees: 20-35 miles: $150 | 35-50 miles: $250 | 50+ miles: quoted individually.
For remote or off-grid installations requiring specialized access (watercraft, ATV, helicopter, etc.), customer is responsible for providing access or reimbursing Rivas Technology Group for access costs.
Replacement parts and components are billed at cost plus 30% markup. Common replacement items include:
Parts pricing is subject to change based on manufacturer pricing and availability. Customer will receive written approval request before parts are ordered. All parts sales are final — no returns or refunds.
Annual preventive maintenance is optional but strongly recommended for all systems. Service includes: on-site inspection, solar panel cleaning, battery testing and conditioning, firmware updates, camera cleaning, system optimization, and detailed health report.
Pricing: $499 per tower annually (as shown in Add-Ons section). Multi-tower discounts available. Preventive maintenance must be scheduled during normal business hours (M-F, 8am-5pm). Emergency or after-hours service is not available.
GEL batteries have a typical service life of 5-7 years depending on usage, climate, and maintenance. Battery replacement is not covered under standard workmanship warranty or manufacturer warranty. Customer is responsible for battery replacement costs as needed throughout the lease or ownership period.
Rivas Technology Group will notify customer when battery testing indicates replacement is recommended. Continued operation with degraded batteries may result in system downtime and is not grounds for withholding lease payments or warranty claims.
Systems purchased outright include a mandatory monthly service fee covering: remote access to local recordings, cloud management dashboard, system health monitoring, firmware updates, and technical support. Monthly service fees are billed annually in advance as described in Section 1.2.
Monthly service fees may increase annually at Rivas Technology Group's discretion with 60 days written notice. Typical increases are 3-5% annually to account for inflation and increased cloud infrastructure costs.
All installations include a 90-day workmanship warranty beginning on the date of system commissioning and client handoff. This warranty covers labor and installation quality performed by Rivas Technology Group. Workmanship warranty terms are governed by Section 1 of the Rivas Technology Group Standard Terms & Conditions.
Exclusions: Workmanship warranty does not cover equipment failure, software issues unrelated to installation, acts of nature, power surges, unauthorized modifications, damage caused by third parties, customer negligence, or normal wear and tear.
All equipment carries full manufacturer warranties which are passed through to the customer. Rivas Technology Group will handle warranty claims on the customer's behalf — customer will not need to navigate manufacturer support independently.
Manufacturer warranty terms vary by component: Ajax Hub 2 Plus (2 years), DomeCam Mini (2 years), StreetSiren (2 years), Solar panel (5 years), Battery (1 year), Cellular router (1-3 years depending on model).
Solar Security Tower Systems are designed as deterrents and risk-mitigation tools — they do not guarantee prevention of theft, damage, injury, or loss. Rivas Technology Group does not provide emergency response services. System performance may be affected by: weather conditions, solar exposure, battery condition, cellular signal strength, network interruptions, equipment limitations, or user error.
Customer remains solely responsible for maintaining appropriate insurance coverage for their property and possessions. Rivas Technology Group's total liability under this agreement shall not exceed the total amount paid by the customer for the system. Limitation of liability terms are governed by Section 29 of the Rivas Technology Group Standard Terms & Conditions.
Customer acknowledges and accepts that Solar Security Tower Systems rely on solar energy to charge the onboard battery. Solar charging performance is directly dependent on available sunlight and varies significantly by season, weather conditions, and geographic location.
Pacific Northwest Climate Considerations: The Pacific Northwest experiences extended periods of reduced sunlight during fall and winter months (typically October through March). During this period, customers should expect:
Rivas Technology Group makes no warranty or guarantee that solar charging alone will maintain system operation during periods of reduced sunlight. Reduced solar performance during fall/winter months or extended cloudy periods is a known characteristic of solar-powered systems and does not constitute a defect, malfunction, or breach of contract.
Customers deploying systems in locations with limited solar exposure or requiring year-round uninterrupted operation should consider: (1) Reducing camera recording frequency during low-light months, (2) Periodic manual charging of the battery (customer responsibility), or (3) Supplemental power solutions (available at additional cost). Rivas Technology Group is not responsible for system downtime caused by insufficient solar charging due to weather conditions or seasonal sunlight variations.
Customer is solely responsible for monitoring system performance and responding to performance degradation (including but not limited to: cameras going offline, system alerts, loss of connectivity, or observed reduction in runtime). If the customer observes performance issues potentially related to insufficient solar charging, customer should reduce system usage, arrange supplemental charging, or contact Rivas Technology Group for service. Failure to respond to observable system performance issues does not constitute a service failure by Rivas Technology Group.
The Rivas Technology Group Standard Terms & Conditions (available at rivastechgroup.com/terms-and-conditions) are incorporated into this agreement by reference in their entirety. In the event of conflict between the Standard Terms & Conditions and the Solar Security Tower System-specific terms above, the Solar Security Tower System-specific terms control.
Specifically incorporated by reference: Section 5 (Existing Conditions), Section 6 (Access & Scheduling), Section 7 (Client Responsibilities), Section 14 (Network & Third-Party Dependencies), Section 15 (Surveillance & Security Systems), Section 27 (Indemnification), Section 28 (Governing Law & Venue), Section 30 (Force Majeure), Section 35 (Permits & Regulatory Compliance), Section 36 (Attorney's Fees), Section 37 (Lien Rights Notice).
Customer must provide reasonable access to equipment for installation, maintenance, inspection, and retrieval. A decision-maker must be available by phone during service calls and present on-site at the start and end of installation or major service work.
Customer is responsible for: maintaining clear solar panel exposure, providing stable cellular data connectivity (customer-provided cellular router and data plan), obtaining any necessary permits or approvals from property owners or governing authorities, and coordinating with other parties (tenants, building managers, HOA) as needed.
No modification, amendment, or waiver of any provision of this agreement is valid unless made in writing and signed by both parties. Email confirmation from an authorized representative of Rivas Technology Group is sufficient to constitute written agreement for minor modifications. Material changes require execution of a formal amendment or change order.
This agreement is governed by the laws of the State of Washington without regard to conflict of laws principles. Venue for any legal action lies exclusively in the Superior Court of King County, Washington, or the United States District Court for the Western District of Washington. Customer consents to personal jurisdiction in Washington State.
If any provision of this agreement is held invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, severed. All remaining provisions continue in full force and effect.
This agreement, together with the signed proposal, Rivas Technology Group Standard Terms & Conditions, and any written change orders or amendments, constitutes the entire agreement between customer and Rivas Technology Group. This agreement supersedes all prior oral or written communications, proposals, representations, and warranties.
By signing the proposal or contract for Solar Security Tower System services, customer acknowledges that they have read, understood, and agree to be bound by all terms and conditions set forth in this document and the Rivas Technology Group Standard Terms & Conditions incorporated by reference.
Customer specifically acknowledges Section 6.2 (Solar Performance & Seasonal Variations) and accepts that reduced solar charging during fall/winter months or extended periods of cloud cover is expected and does not constitute a defect, malfunction, or breach of this agreement. Customer accepts sole responsibility for monitoring system performance and responding appropriately to observable performance degradation.
